NOTICE OF ANNUAL GENERAL MEETING
In accordance with the New South Wales Touch Association Constitution (NSWTA Constitution), written notice is hereby given that the NSWTA Board of Directors has scheduled the NSWTA Annual General Meeting for the 2022/23 reporting period to be held on Saturday 4th November 2023.

A ZOOM option will be available. Also for delegates traveling, please note that the Vawdon Cup Grand Finals will be played on Sunday, November 5th at the Canterbury Velodrome.
Notice of Motions, Special resolutions, Nominations for Board Positions and General Business items are to be forwarded to the General Manager by close of business Friday, September 22, 2023.
Meeting papers, venue information and zoom links will then be circulated by Wednesday, October 4, 2023.
Three Board Positions of Interested Director (Country), Interested Director (Finance), and Interested Director are to be elected. In accordance of Clause 24.2 of the NSWTA Constitution, a minimum of one male and one female must be elected.

ELECTION OF INTERESTED DIRECTORS
In accordance with clause 24.1 of the Constitution of the New South Wales Touch Association Incorporated, the Voting Members are requested to provide nominations for THREE (3) Interested Director position. The Elected Directors will be elected to hold office for a two-year term.
In accordance with clause 25.3 (b) of the Constitution of the New South Wales Touch Association Incorporated, the Interested Directors for election are:
1. Director (Country)
2. Director (Finance)
3. Director {new}
Consistent with clause 24.2 of the Constitution of the New South Wales Touch Association Incorporated:
• If two males meet the criteria and are elected to Director (Country), Director (Finance), then the third Director role must be filled be a female.
• If a male and a female meet the criteria, and are elected to Director (Country), Director (Finance), then the third Director role can be filled by a male or female.
• If two females meet the criteria and are elected to Director (Country), Director (Finance), then the third Director role must be filled by a male.
Nominations must be received no later than 5pm Friday 22 September 2023. A Voting Member may nominate a person to fill a vacancy.
A nomination must:
➢ Be in the form required by the Board (CLICK HERE); and
➢ Be signed by a nominator and seconder. Both nominator and seconder must be authorised representatives of an Affiliate, NSWTA or Region. For the avoidance of doubt where the nominator is NSWTA, the seconder may be an Affiliate or Region; and
➢ Certified by the nominee expressing their willingness to accept the position for which they are nominated. All nominations must be submitted in accordance with the instructions contained in the included NSWTA Director Nomination Form and address the Criteria for the role.
Consistent with clause 31.1 of the Constitution of the New South Wales Touch Association Incorporated, the Board has appointed a Nominations Committee to determine, in its sole discretion, the suitability of candidates seeking election to the Board.
In accordance with clause 31.2 of the Constitution of the New South Wales Touch Association Incorporated, the Nominations Committee Charter prescribes the authority delegated to the Nominations Committee. The nominations committee may also choose to interview eligible candidates.
NSWTA Essential Board Nomination Criteria as per clause k) i.4 of the Charter.
Consistent with clause 25.1 of the Constitution of the New South Wales Touch Association Incorporated, the Board has determined that the following specific criteria be met for each Independent Director role;
Director (Country)
• A member of the NSWTA
• From and Affiliate within either the West Southwest Suns, Hunter Western Hornets, Northern Eagles and
Southern Rebels Affiliates located outside the Sydney metropolitan area.
• Demonstrated leadership skills.
• Demonstrated negotiation skills.
• Demonstrated relationship-building skills.
• Demonstrated strategic plan development and management experience.
• Demonstrated a strong understanding of Governance practices.
• Demonstrated business skills and practices.
• Demonstrated financial acumen.
• Maintain high ethical standards for the betterment of the game.
Director (Finance)
• A member of the NSWTA.
• Demonstrated leadership skills.
• Finance/accountancy degree or minimum 5 years experience in a finance-related role.
• Demonstrated negotiation skills.
• Demonstrated relationship-building skills.
• Demonstrated strategic plan development and management experience.
• Demonstrated ability to develop financial policy and procedures.
• Not hold a position on a regional executive or committee.
• Maintain high ethical standards for the betterment of the game.
Director
• A member of the NSWTA
• Demonstrated leadership skills.
• Demonstrated negotiation skills.
• Demonstrated relationship-building skills.
• Demonstrated strategic plan development and management experience.
• Demonstrated a strong understanding of Governance practices.
• Demonstrated business skills and practices.
• Demonstrated executive sales and or marketing experience.
